1. These terms
These Terms of Service (the “Terms”) govern your access to and use of the UPI Banking website and the payment service described on it (together, the “Service”). The Service is provided by UPI BANKING GLOBAL LLC (“we”, “us”, “our”).
By accessing the website, submitting a merchant application, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you confirm that you have authority to bind that entity, and “you” refers to that entity.
2. What the Service is
The Service enables eligible merchants to accept UPI payments from their customers. UPI Banking states that it holds the authorisation required to provide the payment service described on this website.
The Service is not a bank account. UPI Banking is a brand name for a payment service. We do not take deposits and we do not provide bank accounts, credit, lending or investment products. Nothing on the website should be read as an offer of banking services.
Specific capabilities, supported flows, settlement arrangements and any limits that apply to your merchant account are set out in the onboarding materials and account documentation provided to you, which form part of your agreement with us.
3. Eligibility and onboarding
Use of the Service is subject to eligibility criteria, onboarding checks and any requirements that apply to your business, its jurisdiction and its activities. Submitting an application does not create a merchant account and does not guarantee approval.
You represent and warrant that:
- you are legally capable of entering into a binding contract, and the business you represent is validly constituted;
- all information you provide during application and onboarding is accurate, current and complete, and you will keep it up to date;
- your business, products and services comply with applicable law and with our Acceptable Use Policy; and
- you will provide any additional information we reasonably request in order to satisfy onboarding, compliance or verification requirements.
We may decline an application, or suspend or terminate a merchant account, where eligibility or ongoing requirements are not met.
4. Fees
The initial merchant registration fee is $100 USD, charged once. The fee is stated before you complete registration.
Most merchants pay no transaction fees. Where a fee does apply, it depends on the merchant arrangement.
Any transaction, settlement or other fees applicable to your merchant account are set out in your merchant arrangement and confirmed with you during onboarding. Taxes, bank charges and currency-conversion costs imposed by third parties are your responsibility unless we state otherwise in writing.
Refund eligibility for the registration fee is set out in our Refund Policy.
5. Your obligations
You agree to:
- use the Service only for lawful business purposes and in accordance with these Terms and the Acceptable Use Policy;
- present payment options to your customers accurately, including any amounts, currency and the identity of the merchant of record;
- keep your account credentials and integration secrets confidential, and notify us promptly of any suspected compromise;
- handle your customers’ personal data in accordance with applicable data-protection law; and
- cooperate with reasonable requests relating to disputes, chargebacks, refunds or compliance reviews.
6. Suspension and termination
We may suspend or terminate access to the Service, in whole or in part, where we reasonably believe that: you are in material breach of these Terms or the Acceptable Use Policy; continued provision would breach applicable law or a requirement imposed on us; or there is a significant risk of fraud, loss or harm.
Where practical and lawful, we will give notice before suspending the Service and explain what is required to restore it.
You may stop using the Service at any time. Termination does not affect rights or obligations that accrued before it, including amounts due.
7. Intellectual property
The website, the Service and all associated software, documentation, trade marks and branding remain our property or that of our licensors. These Terms do not transfer any intellectual-property rights to you. You may use our name and marks only as needed to display accepted payment methods at your checkout, and in accordance with any brand guidance we provide.
8. Disclaimers
To the fullest extent permitted by applicable law, the website and its content are provided “as is”. We do not warrant that the website will be uninterrupted or error-free, or that the information on it is complete or current at all times.
Nothing on the website constitutes legal, tax, accounting or regulatory advice. You are responsible for determining the requirements that apply to your business and for obtaining your own professional advice.
9. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.
Subject to that, and to the fullest extent permitted by law: we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity or loss of goodwill; and our aggregate liability arising out of or in connection with the Service is limited to [LIABILITY CAP].
10. Changes to these Terms
We may update these Terms from time to time. Where a change materially affects your rights or obligations, we will give reasonable notice before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
11. Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of [GOVERNING LAW], and the courts of [JURISDICTION] have exclusive jurisdiction, except where mandatory law in your country of residence provides otherwise.
